1. Parties

This Service Agreement is between:

Breaktime: GrowthLab AI, ABN 48 351 064 144, trading as Breaktime Marketing, of Toowong Towers, Brisbane, Queensland, Australia ("Breaktime"); and

Client: the person or business accepting this Service Agreement through the Breaktime signup or purchase process ("Client").

2. Your selected service

Your selected plan, payment option and price displayed during signup or checkout form part of this Service Agreement.

Service commences after successful payment unless another commencement date is agreed in writing.

Breaktime is not currently registered for GST and does not currently charge GST. If Breaktime becomes required to register for GST, applicable pricing and tax treatment will be updated in accordance with Australian law and notified where required.

Breaktime offers two standard plans:

Coffee Plan

Current standard price: A$168 per month, or A$1,814.40 for 12 months upfront (a 10% saving).

Includes:

  • a professional, mobile-responsive website built from a selected and customised design system, hosted and managed by Breaktime;
  • connection and optimisation of an existing verified Google Business Profile within scope;
  • immediate branded SMS after an eligible missed call;
  • a Website AI Employee on the Client's website, using Client-approved information and rules to answer approved questions, collect and qualify enquiries, and provide approved next-step links;
  • the approved enquiry and next-step configuration; Coffee's Website AI Employee does not automatically continue a missed-call SMS conversation or perform booking/signup actions; and
  • one plain-English report each month.

Coffee & Donut Plan

Current standard price: A$395 per month, or A$4,266 for 12 months upfront (a 10% saving).

Includes everything in Coffee, plus:

  • an AI Employee for approved actions across supported connected channels where configured and tested, including approved enquiry, booking or signup assistance within that configuration;
  • managed recurring branded static graphics, ordinary carousels and captions created from approved Client information;
  • scheduling and publishing to supported connected channels;
  • approval through a secure external link;
  • supported follow-up of genuine comments and messages on connected channels where configured and tested;
  • review requests after an agreed service event, where the Client's setup allows; and
  • an enhanced monthly report covering content, enquiries and review activity.

Standard Coffee & Donut does not include video, reels or ongoing video production. These are premium production, separately scoped and priced. No exact monthly content quantity or mix is specified by this agreement.

Only the plan selected and displayed during signup or checkout forms part of this agreement.

3. Important service boundaries

The service is productised and has a defined scope. It is not an unlimited or bespoke agency engagement.

For Google Business Profile work, the standard plans include connecting and optimising an existing verified profile. New-profile creation, verification, reinstatement, ownership recovery and duplicate resolution are separately priced.

For Coffee & Donut social workflows, Facebook and Instagram are the initial supported scope where the Client's accounts are correctly connected. Breaktime does not promise that every comment or message on every platform will always be captured or answered. Genuine enquiries are prioritised; routine praise, emojis, spam and low-value comments do not need to be sent to the Client.

Standard clients do not receive GoHighLevel logins, CRM access or dashboards. Breaktime operates the platform and delivers relevant outcomes through email, SMS, secure approval links, enquiry or booking notifications and reports.

AI actions depend on the approved information, connected channel and supported configuration. Neither plan includes unrestricted transaction or pricing authority, universal platform coverage or guaranteed LinkedIn direct-message handling. Matters outside the approved rules require human review.

Premium add-ons, additional pages or functionality, advanced work and custom or bespoke requirements are separately scoped and priced.

Separate usage allowances and packs

AI usage and Communications usage are separate allowances and cost pools.

  • AI: included monthly allowance → A$20 AI Usage Pack #1 → A$20 AI Usage Pack #2 → account review before a third standard pack in that billing month.
  • Communications: included monthly Communications Allowance → A$20 Communications Pack #1 → A$20 Communications Pack #2 → account review before further standard top-up.

Purchased unused pack balance carries forward within its respective pool. Included monthly allowance resets and does not accumulate. A pack's A$20 price is its retail price, not a promise of A$20 of provider costs or unlimited usage.

The applicable allowance, pack capacity and any additional usage charge must be disclosed and agreed before the usage arrangement applies. AI and Communications are reviewed independently after their second pack.

Pre-activation completion required: numerical Coffee and Coffee & Donut AI and Communications allowances, measurement units and pack capacities remain to be specified in the applicable service schedule and receive final commercial/legal review before customer activation or usage automation. This implementation candidate does not specify token, conversation, SMS, minute or other capacity entitlements.

4. Website, hosting and ownership

Breaktime builds the website from a selected and customised design system using the Client's approved information. Breaktime hosts and manages the website while the applicable subscription or prepaid service period is active.

The Client retains ownership or control of its domain, business name, trademarks and supplied content unless separately agreed. The agreement does not transfer Breaktime's underlying templates, reusable code, workflows, systems, processes or other intellectual property.

If the service ends, Breaktime may cease hosting at the end of the paid service period. Website transfer or buyout is a separately documented and priced option.

5. Revisions and changes

The initial website includes one consolidated revision round. Breaktime corrects its own genuine implementation errors without counting them against that allowance.

Repeated changes, substantial redesign, additional pages, new functionality, substantial copy changes or work outside the selected plan may be declined or quoted separately before it begins.

For Coffee & Donut content, the Client receives a secure approval link. The Client may approve, reject with a clear change note or reschedule. If no changes are requested within 48 hours, the content batch is deemed approved and may be released for publishing under the agreed process.

6. Client responsibilities

The Client must:

  • provide accurate business information and confirm its services, prices, claims, policies and rules;
  • provide required assets, account access and approvals;
  • have ownership, control or authority for accounts and material Breaktime is authorised to use;
  • respond to required approvals within a reasonable time;
  • tell Breaktime promptly when business information, prices, services, availability or rules change; and
  • not require Breaktime to publish or communicate anything unlawful, misleading, infringing or outside the approved scope.

Client-caused delays may delay implementation or publishing and do not automatically pause billing after the paid service period begins.

7. No results guarantee

Breaktime promises the work and processes it controls within the selected plan. It does not guarantee leads, calls, bookings, sales, customers, revenue, conversion rates, search or Google rankings, AI-answer inclusion, social reach, complete social-response coverage or recovery of any estimated revenue at risk.

8. Billing and cancellation

Monthly option

Monthly services are billed monthly in advance with no fixed minimum term. The Client may cancel at any time.

To stop the next payment, Breaktime must receive at least 14 days' notice before the next billing date. If notice arrives fewer than 14 days before that date, the next payment may proceed and service continues to the end of the newly paid billing period.

Twelve months upfront

The annual-upfront option is a discounted prepaid 12-month service period, not a different plan. If the Client stops early for change-of-mind reasons, service may continue until the end of the prepaid period and unused prepaid fees are not ordinarily refunded.

Nothing in this agreement excludes, restricts or modifies any right or remedy that cannot lawfully be excluded under applicable Australian law.

A 12-month-upfront subscription automatically renews for another prepaid 12-month period unless the Client gives Breaktime at least 14 days' notice before the renewal date that it does not wish to renew. Breaktime will send a renewal reminder approximately 30 days before the annual renewal date.

If the Client changes its mind after an annual renewal payment has processed, service may continue until the end of the renewed prepaid period and unused prepaid fees are not ordinarily refunded. This remains subject to rights and remedies that cannot lawfully be excluded under applicable Australian law.

9. Call and meeting recording

Breaktime may record telephone calls, video meetings and other service-related conversations for training, quality assurance, service improvement, record-keeping, confirming instructions where reasonably necessary, and resolving disputes or misunderstandings.

By entering into this Agreement, the Client consents to Breaktime making and using those recordings for these purposes.

Recordings may be accessed by authorised Breaktime personnel and service providers only where reasonably necessary for the permitted purposes and will be handled in accordance with Breaktime's applicable privacy practices.

Breaktime will not publish a recording, use it as advertising or promotional material, or publicly identify the Client from a recording without obtaining separate permission where required.

If the Client does not want a particular call or meeting recorded, the Client may tell Breaktime before or during the conversation and Breaktime will stop or avoid the recording where reasonably practicable.

Where another participant joins a call or meeting and that person is not covered by this Agreement, any additional notice or consent required for that participant will be dealt with separately.

10. Terms incorporated into this agreement

The Breaktime Marketing Terms and Conditions v1.1, available at https://breaktimemarketing.com/terms, are incorporated into and form part of this agreement.

The Client acknowledges that it had the opportunity to read those Terms before accepting this Service Agreement. If this Service Agreement and the Terms are inconsistent, this Service Agreement prevails to the extent of the inconsistency for the selected service.

11. Electronic acceptance

By ticking the acceptance box and selecting Complete Order, the Client confirms that:

  • they have read and agree to this Service Agreement and the incorporated Terms;
  • the plan, payment option and price displayed during signup or checkout are correct; and
  • they are authorised to enter into this agreement for the accepting person or business.
